1. Delivery of the software

The software will be delivered in machine-readable form only. The software is considered to have been delivered when the data carrier and the documentation are dispatched from the premises of licensor or, if no data carriers are delivered, when the program is transferred into licensee’s system. Supporting services by licensor during installation of the computer software are to be agreed upon separately.

2. Maintenance

The maintenance of the software by licensor covers the following services free of charge:

2.1 delivery of the latest version released by licensor.

2.2 Remedy of defects in the current version run on licensor’s system.

3. Agreement for the supply of software

Licensor may request that part or all of the software to be made available under the present Contract be the subject of a separate agreement for the supply of software between the Parties for the purpose of defining the specific additional rights and obligations between the Parties with respect to such software.

Licensee may not sublicense to third parties any rights or licenses to use such software or computer programs.

Licensor shall retain title to all of such software and computer programs.

10-A Lump Sum
