In 1980 Claimant and Defendant entered into a commercial agency agreement, subject to French law. The agency continued for fourteen years, at which point Claimant became the distributor of Defendant's products. Defendant announced that Claimant was no longer its commercial agent. Claimant refused to accept this position, arguing that the commercial agency continued alongside the distribution contract and that the termination of the former was contrary to previous agreements between the parties and hence unfair. Defendant, on the other hand, maintained that they had mutually agreed to the replacement of the agency by a distribution contract.

En 1980 le demandeur et le défendeur conclurent un contrat d'agent commercial soumis au droit français. La relation d'agence fut maintenue durant quatorze ans à l'issue desquels le demandeur devint le distributeur des produits du défendeur. Le défendeur annonça alors que le demandeur n'était plus son agent commercial. Le demandeur refusa d'accepter cette situation, soutenant que le contrat d'agent commercial se poursuivait parallèlement au contrat de distribution et que la résiliation du premier contrat était contraire aux accords antérieurs entre les parties et donc abusive. Le défendeur, de son côté, soutenait que les parties avaient convenu d'un commun accord de remplacer le contrat d'agence par un contrat de distribution.
