Defendant, an Austrian company (principal), entered into various commercial agency agreements with Claimant, an Italian company (agent). The agreements, all for unfixed terms, related to equipment and spare parts for the plastics industry. Although the parties' relations were conducted satisfactorily at the outset, they soured following difficulties in performance linked to a deterioration in market conditions in Italy. Defendant terminated two of the contracts. Claimant sought compensation and commission. Defendant rejected these claims, maintaining that Claimant was in breach of contract and misguided in its estimation of the deals on which its entitlement to commission was based, and, furthermore, that the parties had excluded the provisions of Austrian law on commercial agency on which Claimant based its claim to compensation.

La défenderesse, une société autrichienne (mandant), conclut divers contrats d'agent commercial avec la demanderesse, une société italienne (mandataire). Les contrats, tous à durée indéterminée, concernaient des matériels et des pièces détachées dans l'industrie des matières plastiques.
