1988 ICC Rules of Arbitration

The dispute concerned the payment of goods ordered within the framework of an 'agency agreement' between Claimant (seller) and Defendant (purchaser). The purchaser refused to take delivery of the goods shipped to it, alleging cancellation of orders by its own customers and proposing alternative terms of payment. The parties failed to reach an agreement on such suggested amendments, following which the seller initiated arbitration proceedings in accordance with the arbitration clause in the 'agency agreement'. It requested payment of the price of the goods, or, as an alternative, coverage of the cost of returning the goods to its factory. Given that the dispute concerned an isolated transaction within a long-term agreement and that the arbitration clause was in the latter, the sole arbitrator first considered the question of her own jurisdiction, before examining the claims laid before her.

Le litige concernait le paiement de marchandises commandées dans le cadre d'un contrat d'agence (« Agency Agreement ») entre le demandeur (vendeur) et le défendeur (acheteur). L'acheteur refusa de prendre livraison des marchandises qui lui avaient été expédiées en invoquant l'annulation de commandes par ses propres clients et en proposant de nouvelles conditions de paiement. Les parties ne parvinrent pas à s'entendre sur les modifications suggérées, à la suite de quoi le vendeur engagea une procédure arbitrale conformément à la clause d'arbitrage du contrat d'agence. Il demanda le paiement du prix des marchandises ou, subsidiairement, la prise en charge des frais de restitution des marchandises à son usine. Etant donné que le litige concernait une opération distincte dans le cadre d'un contrat à long terme et que la clause d'arbitrage figurait dans ce dernier contrat, l'arbitre unique considéra la question de sa propre compétence, avant d'examiner les demandes qui lui étaient soumises.
