Claimant, a German company, was appointed by Defendant, a French metal manufacturer, as its exclusive agent for sales in Germany. Their agreement provided for automatic yearly renewal unless terminated by registered letter with three months' notice. In such case, Claimant would not be entitled to any compensation other than the commission on contracts obtained but not yet fulfilled. Termination of the agreement was also permitted in the event of breach of any of the obligations described therein. Nine years into the agreement Defendant gave notice of termination which Claimant refused to accept, on the grounds that it received such notice too late and that the reasons given were unjustified. Claimant requested compensation for unfair termination. In the ensuing arbitral proceedings, the sole arbitrator decided that Defendant had no grounds for terminating the agency agreement and had failed to give the required notice. She thus awarded Claimant compensation.

La demanderesse, une société allemande, fut nommée par le défendeur, fabricant de métaux français, agent exclusif pour les ventes en Allemagne. Leur contrat prévoyait un renouvellement annuel par tacite reconduction sauf résiliation par lettre recommandée adressée trois mois à l'avance. Dans un tel cas, la demanderesse n'avait droit à aucune indemnité autre que la commission sur les contrats obtenus mais non encore exécutés. La résiliation du contrat était également permise en cas de manquement à l'une quelconque des obligations qui y étaient décrites. Après neuf ans d'exécution du contrat, le défendeur adressa un avis de résiliation que la demanderesse refusa d'accepter au motif qu'elle avait reçu cet avis trop tardivement et que les motifs invoqués n'étaient pas justifiés. La demanderesse réclama une indemnité pour résiliation abusive. Dans la procédure arbitrale qui s'ensuivit, l'arbitre unique décida que la défenderesse n'avait aucun motif de résiliation du contrat d'agence et n'avait pas donné le préavis qui s'imposait. Il accorda donc une indemnité à la demanderesse.
