Partial Award in Case 9288 (Extract)

The respondent, a Swiss bank, acting with and on behalf of a syndicate of other banks, granted a credit facility to an Algerian bank for the purpose of financing Italian exports to Algeria. The respondent subsequently agreed with the claimant, an Italian bank, that the latter would finance 90% of the loan agreement and the respondent the remaining 10%. The agreement regulating the relations between the two parties did not contain an arbitration clause. One of the transactions to which the credit facility was applied turned out to be fraudulent. Having advanced the funds to finance that transaction, the claimant sought to recover them from the respondent, alleging that the latter had guaranteed to cover them in a letter of 24 March 1993. The respondent objected to the jurisdiction of the arbitral tribunal, arguing that the guarantee it was alleged to have given was separate from the credit facility agreement containing the arbitration clause.

La défenderesse, une banque suisse, agissant aux côtés et au nom d'un pool d'autres banques, octroya une facilité de crédit à une banque algérienne afin de financer des exportations italiennes vers l'Algérie. Ultérieurement, la défenderesse convint avec la demanderesse, une banque italienne, que cette dernière financerait la facilité de crédit à hauteur de 90 % et la défenderesse à hauteur des 10 % restants. La convention qui régissait les relations entre les deux parties ne comportait pas de clause compromissoire.

Une des opérations pour lesquelles il fut fait usage de la facilité de crédit s'avére être frauduleuse. Ayant avancé les fonds pour financer cette opération, la demanderesse cherche à se faire rembourser par la défenderesse, alléguant que cette dernière avait assumé une garantie dans ce sens dans un courrier du 24 mars 1993. La défenderesse soulève une exception d'incompétence du tribunal arbitral au motif que la garantie qu'elle était censée avoir donnée était distincte de la convention de crédit qui contenait la clause compromissoire.
